1. Who we are and what these terms cover

Brandwyn is a software-as-a-service platform that lets marketing agencies and freelancers manage their clients' social media publishing and Google Ads, with a built-in AI marketer. It is operated by iBtech ("the Company", "we", "us"), website brandwyn.in, email info@brandwyn.in. Our registered office address and tax registration details appear on your invoices and are available on request.

These Terms and Conditions ("Terms") are a binding agreement between the Company and the person or organisation that creates an account ("you"). By registering, paying for a subscription or using the service, you accept these Terms together with our Privacy Policy and No Refund Policy, which form part of this agreement. If you register on behalf of an agency or company, you confirm that you are authorised to bind it.

2. Accounts and eligibility

You must be at least 18 years old and able to enter into a contract. Each account represents one agency or business (a "workspace"). The person who registers becomes its administrator and may invite users and assign roles. You are responsible for everyone who uses your workspace, for keeping passwords confidential and for all activity under your account, including activity by any AI client (such as Claude Desktop or claude.ai) you connect through our MCP server. You must give accurate registration and billing information, keep it up to date, verify your email address when asked, and tell us at once at info@brandwyn.in if you suspect unauthorised use of your account.

3. Free trial

New workspaces may receive a free trial. Its length and any starter allowance of AI credits are shown on the registration page and may change from time to time. When the trial ends, access is restricted until a subscription is purchased; your data is kept for the period described in the Privacy Policy. We may limit trials to one per organisation and may withdraw a trial that is used abusively.

4. Subscriptions, expiry and renewal

Access to the service after the trial requires a paid subscription package. Every package includes every feature; packages differ only by duration (monthly, quarterly, half-yearly or yearly), price and the AI credits included. Current packages and prices are shown on the pricing page and inside the app.

A subscription starts when we receive confirmation of your payment from our payment provider and runs for the package duration. Subscriptions are fixed-term and expire automatically at the end of the term; they do not renew or charge you automatically. You may purchase a renewal at any time before expiry, in which case the new term begins when the current term ends. If no renewal is purchased, your workspace loses access to the service when the term expires until a new package is paid for. Scheduled activity may not run while a workspace is expired. We do not provide refunds or credit for unused portions of a term; see the No Refund Policy.

5. Fees, taxes and payment

Fees are stated in Indian Rupees (INR) exclusive of taxes unless shown otherwise. Goods and Services Tax (GST) at the applicable rate (currently 18%) and any other applicable taxes are added at checkout and shown on your invoice. You are responsible for any taxes, duties or bank charges that apply to you other than taxes on our income.

Payments are processed by Razorpay under its own terms; we do not store your card, UPI or bank details. If a payment is reversed, disputed or found to be fraudulent, we may suspend the workspace until the matter is resolved. We may change prices for future terms at any time; the price you paid for a current term will not change during that term.

6. AI credits

Use of the built-in AI marketer is metered in AI credits. Each package includes a stated number of credits; additional credits can be bought as top-up packs. Credits are consumed as the AI works at the rates shown in the app, which may change with our underlying costs. When your balance reaches zero the AI marketer stops until credits are added; publishing, scheduling, analytics and manual controls are not affected. Credits have no cash value, cannot be transferred between workspaces and are not refundable. Credit validity is shown on the app's billing page.

7. Acceptable use

You agree to use Brandwyn only for lawful marketing on behalf of yourself or clients who have authorised you to act for them. You must not, and must not allow your users or clients to:

We may remove content, pause scheduled activity or suspend access where we reasonably believe this section has been breached.

8. Third-party platforms

Brandwyn connects to third-party platforms including Facebook, Instagram and Threads (Meta), LinkedIn, X, Bluesky, YouTube, TikTok, Pinterest, Google Ads and Google Analytics, through their official APIs. Your use of those platforms through Brandwyn is subject to their own terms, developer policies, advertising policies and community guidelines, which you agree to comply with. We are not a party to your relationship with those platforms.

Those platforms control their APIs. They may change, restrict or withdraw features, reject or remove content, require re-authorisation or suspend accounts at any time without notice to us. We are not responsible for any such change or action, and we do not guarantee continued support for any particular platform.

Google Ads spend is charged by Google to the ad account you connect, not by us. Brandwyn's spend caps and pacing are controls applied on top of Google's own settings and depend on data Google provides; you remain responsible for monitoring and for all spend on your ad accounts.

9. AI-generated output and your responsibility to review

The built-in AI marketer uses large language models (provided by Anthropic or OpenAI, as the Company chooses) to draft posts, propose and in auto mode apply Google Ads changes, draft emails and summarise results. AI output can be wrong, incomplete, biased or inappropriate for a client. You are responsible for reviewing all AI output before relying on it, and for every post, ad and email that is published or sent from your workspace, whether a person or the AI created it.

Brandwyn gives you controls for this: a per-client review mode in which every post and ad change waits for approval, client profiles with rules the AI follows, monthly spend caps, and undo for reversible changes. If you enable auto mode for a client, you accept that posts will publish and eligible ad changes will apply without further review. We do not guarantee any particular marketing result, cost per lead or return on ad spend.

10. Your content and data

You retain all rights to the content you and your users create or upload and to your clients' data. You grant the Company a worldwide, non-exclusive licence to host, process, transmit and display that content solely to operate and improve the service, to deliver it to the platforms you choose and to our AI provider for processing you request, and as required by law. You confirm you have the rights needed for everything you upload, including rights from your clients.

We process personal data as described in the Privacy Policy. For personal data you upload about your clients' customers, you are the controller and we act on your instructions. Content sent to our AI provider is processed under our agreement with them and is not used to train their models.

11. Our intellectual property

The Brandwyn software, design, documentation, trademarks and related intellectual property belong to the Company or its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, modify, distribute, sell or lease any part of the service. Feedback you give us may be used without obligation to you.

12. Availability and changes to the service

We aim to keep the service available at all times but do not guarantee uninterrupted or error-free operation; maintenance, platform outages and events beyond our control may affect it. We may add, change or remove features, platforms and limits as the product develops, and will give notice of material reductions where practicable.

13. Suspension and termination

You may stop using the service at any time and may ask us to delete your workspace by emailing info@brandwyn.in from the administrator's address. Termination by you does not entitle you to a refund of fees already paid.

We may suspend or terminate your access, with notice where reasonable, if you breach these Terms, if a payment is reversed or disputed, if your use creates legal, security or platform-compliance risk, or if required by law or a platform. On termination your right to use the service ends and we retain and then delete your data as described in the Privacy Policy. Sections that by their nature should survive (fees owed, intellectual property, disclaimers, liability limits, indemnity and governing law) survive termination.

14. Warranties and disclaimers

The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and accuracy. We do not warrant that AI output will be accurate or suitable, that content will be accepted or remain published by any platform, that analytics data will be complete, or that the service will meet your or your clients' requirements.

15. Limitation of liability

To the fullest extent permitted by law: (a) the Company is not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill, data or advertising spend, however caused; (b) the Company's total aggregate liability for all claims arising out of or related to the service or these Terms shall not exceed the amount you paid to the Company in the twelve months before the event giving rise to the claim; and (c) we are not liable for the acts or omissions of third-party platforms, payment providers or AI providers, or for content you or your users publish. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud.

16. Indemnity

You will defend, indemnify and hold harmless the Company and its officers, employees and contractors from any claims, damages, fines and costs (including reasonable legal fees) arising from content published from your workspace, your or your users' breach of these Terms, of any platform's policies or of applicable law, or any claim by your clients relating to services you provide them using Brandwyn.

17. Governing law and jurisdiction

These Terms are governed by the laws of India. Subject to any mandatory consumer-protection rules that apply to you, the courts at Pune, Maharashtra, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the service. Before starting proceedings, each party agrees to try in good faith to resolve the dispute by writing to the other and discussing it for at least 30 days.

18. General

These Terms, the Privacy Policy and the No Refund Policy are the entire agreement between you and the Company about the service. We may update these Terms by posting the new version here with a new effective date; for material changes we will notify workspace administrators by email or in the app at least 14 days before they take effect, and continued use after that date means you accept them. If any provision is unenforceable, the rest remains in force; failure to enforce a provision is not a waiver. You may not assign this agreement without our written consent; we may assign it to a successor of our business. Neither party is liable for delay caused by events beyond its reasonable control. Notices to us go to info@brandwyn.in; notices to you may go to your administrator's email address.
